Terms of Service

1. Agreement to Terms
By accessing or using the NexDOM website (nexdom.org) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.
2. Services
NexDOM provides digital design and development services including, but not limited to: web development, web application development, UI/UX design, SEO implementation, payment gateway integration, website enhancement, web security solutions, and performance optimization.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written Statement of Work (SOW) or Project Proposal, which forms part of the agreement between NexDOM and the client.
3. Payments & Billing
- All project engagements require a deposit (typically 40–50% of the total project value) prior to commencement of work.
- The remaining balance is due upon project completion or as defined in the milestone schedule within the project proposal.
- Invoices are due within 14 days of issuance unless otherwise agreed in writing.
- Late payments may incur a fee of 1.5% per month on the outstanding balance.
- All prices are listed in USD unless otherwise stated. We accept payment via bank transfer, Stripe, or PayPal.
4. Intellectual Property
Upon receipt of full payment for a project, NexDOM assigns to the client all intellectual property rights in the final deliverables, including source code and design assets, unless otherwise specified in the project proposal.
NexDOM retains the right to use the project work in our portfolio and marketing materials unless the client requests confidentiality in writing.
All third-party libraries, frameworks, and assets used in the project remain subject to their respective licenses.
5. Client Responsibilities
The client agrees to:
- Provide timely feedback and approvals at each defined milestone.
- Supply all required content, assets, credentials, and information in a timely manner.
- Ensure that all content and materials provided to NexDOM do not infringe upon third-party intellectual property rights.
- Designate a primary point of contact with decision-making authority for the project.
Project delays caused by client inaction or late feedback may result in revised timelines and additional costs.
6. Revisions & Change Requests
Each project proposal specifies the number of included revision rounds. Revision requests that fall outside the agreed scope, or that exceed the included revision rounds, will be quoted and billed separately at our standard hourly rate. We will always notify you before proceeding with out-of-scope work.
7. Confidentiality
Both parties agree to treat all non-public information shared during the engagement as confidential and not to disclose such information to third parties without prior written consent. This obligation survives the termination of the engagement.
8. Cancellation & Refunds
- Either party may terminate a project engagement with 14 days written notice.
- Deposits are non-refundable once work has commenced.
- In the event of client-initiated cancellation, the client will be invoiced for all work completed up to the cancellation date.
- In the event of NexDOM-initiated cancellation (other than for client breach), the client will receive a full refund of any amounts paid for work not yet delivered.
9. Limitation of Liability
To the maximum extent permitted by applicable law, NexDOM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services, even if we have been advised of the possibility of such damages. Our total liability to any client for any claim arising out of a project shall not exceed the total amount paid by the client for that project.
10. Disclaimer of Warranties
Our services are provided on an "as is" basis. We make no warranties, express or implied, regarding the fitness of our deliverables for a particular purpose, uninterrupted service, or the accuracy of results achieved. We do not guarantee specific SEO rankings, conversion rates, or business outcomes, as these depend on many factors outside our direct control.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.
